Taiwan Branch Office Registration Procedures
1. Application to Department of Commerce, MOEA to reserve Chinese company name
General information required: Application for Reservation of Corporate Names and Business Scope (Chinese name of the proposed company and type of organization, applicant’s name, chop, passport or ID card number and residential address)
Note: The applicant is the litigation / non-litigation agent
2. Application to Department of Commerce, MOEA for recognition of foreign head office, examination and certification of foreign equity investment and establishment of branch
Documents required:
(1) Application form (2) Resolution adopted at a meeting of the head office’s board of directors authorizing the establishment of the branch, appointing the branch manager and litigation / non-litigation agent, etc. (authenticated by the representative of the Taiwan government in the country where the foreign head office is resident) and Chinese translation (3) Certificate of incorporation issued by the government authority (authenticated by the representative of the Taiwan government in the country where the foreign head office is resident) and Chinese translation (4) Business registration certificate (for Hong Kong companies only) (authenticated by the representative of Taiwan government in the country where the foreign head office is resident) and Chinese translation (5) Articles of incorporation and bylaws (including all amendments to-date) (authenticated by the representative of the Taiwan government in the country where the foreign head office is resident) and Chinese translation (6) Power of attorney for the litigation / non-litigation agent in Taiwan (authenticated by the representative of the Taiwan government in the country where the foreign head office is resident) and Chinese translation (7) Power of attorney for the branch manager (authenticated by the representative of the Taiwan government in the country where the foreign head office is resident) and Chinese translation (8) Photocopies of the identification cards of the litigation / non-litigation agent in Taiwan and branch manager (if a Taiwan national) (9) Photocopies of the passports of the litigation / non-litigation agent in Taiwan and branch manager (if a foreign national; the branch manager must have a residence in Taiwan) (10) Photocopy of Hong Kong permanent ID card (if the branch manager or litigation / non-litigation agent in Taiwan is a Hong Kong resident) (11) Remittance of operating capital (12) After the application for recognition has been filed with the MOEA, the MOEA will issue a receipt and approve the company’s provision of the branch’s operating capital. With this receipt, the company can remit the operating capital to the branch’s bank account in Taiwan (13) Chops engraved with the Chinese name of the branch manager and litigation / non-litigation agent in Taiwan (14) Chop engraved with the Chinese name of the branch (15) Recognition and Registration forms
3. Application by branch to city government to register as tax-paying unit, and receipt of business license
Documents required:
(1) Application form (2) Photocopy of the building use permit for the building where the branch is located (3) Photocopy of land use zoning certificate for the land where the company is located (4) Photocopy of property tax payment statement for the building where the company is located (5) Chop engraved with the Chinese name of the branch manager (6) Chop engraved with the Chinese name of the branch
